Each may be deemed to have beneficial ownership of the securities reported herein except to the extent of his or its pecuniary interest therein. The Solus Clients expressly disclaim beneficial ownership of any shares of Common Stock. Pursuant to Rule 16a-1(a)(1), the Reporting Persons are not deemed to beneficially own the securities but have elected to file this Form 4 nevertheless.
