Represents a grant of 52,500 performance stock units. The performance stock units will be earned and become "Banked PSUs" upon satisfaction of the market vesting condition, which occurs on the date on which the daily volume-weighted average price per share of the issuer's common stock equals or exceeds $40.26 for twenty (20) consecutive trading days, subject to certification by the issuer's compensation committee. The Banked PSUs remain subject to the executive's continued employment through July 1, 2029, and, upon settlement, will be paid 50% in shares of the issuer's common stock and 50% in cash.
