Footnote F1

Shares were acquired pursuant to the Issuer's Employee Stock Purchase Plan ("ESPP"), under which the Reporting Person agrees to payroll deductions prior to the commencement of a six-month offering period whereby the payroll deductions are accumulated for the purchase of shares at the end of the offering period. This transaction is exempt under both Rule 16b-3(d) and Rule 16b-3(c).

Footnote F2

In accordance with the terms of the ESPP, the purchase price is calculated by giving a 15% discount on the average selling price of the Issuer's common stock price on June 30, 2026, the last day of the offering period.
