The reporting person's spouse received a pre-determined annuity payment from their grantor retained annuity trust ("Spouse's GRAT A"), of which the reporting person is the trustee and the reporting person's spouse is the annuitant, of 32,700 shares of eBay common stock. For estate planning purposes, the reporting person's spouse contributed all of these shares to a new grantor retained annuity trust ("Spouse's GRAT B"), of which the reporting person is the trustee and the reporting person's spouse is the annuitant.
