("Parent") in exchange for shares of Series A-2 Preferred Stock, par value $0.001 per share, of Parent pursuant to a Contribution and Exchange Agreement made as of May 29, 2023, by and between Boscolo and Parent.
F2 The shares of Common Stock of the Issuer were held of record by Boscolo Intervest Limited. Chelt Trading Limited is the sole shareholder of Boscolo Intervest Limited.
