Remarks:
On January 31, 2024, Ms. Baggio agreed to surrender an aggregate of 50,000,000 restricted shares of the Issuer's common stock to the Issuer for cancellation. The shares were previously issued to Ms. Baggio on March 22, 2022, July 19, 2022, January 27, 2023 and February 8, 2023. The original issuances of the shares and surrender/cancellation of the shares were both approved by the Issuer's Board of Directors.
