On March 4, 2025, Tenax Therapeutics, Inc. (the "Company") entered into a securities purchase agreement for a private placement with entities managed by RTW Investments LP, pursuant to which the company will issue and sell 378,346 shares of its common stock and pre-funded warrants to purchase an aggregate of up to 3,760,726 shares of its common stock. After the close of the securities purchase agreement on March 5, 2025, Dellora Investments LP is no longer a 10% shareholder in the reporting company.
