(the "Company"), a Singapore company limited by shares ("ALR Singapore"), and its wholly-owned subsidiary, ALRT Delaware, Inc., a Delaware corporation ("ALR Delaware"), pursuant to which ALR Delaware merged with and into ALR Technologies Inc. (the"Redomicile Merger"), with ALR Technologies Inc. continuing as the surviving entity and a wholly-owned subsidiary of ALR Singapore. The Redomicile Merger resulted in ALR Singapore becoming a parent company and successor to ALR Technologies Inc., but did not alter the proportionate interests of security holders.
