F1	CSLM Acquisition Sponsor II, Ltd (the "Sponsor"), is the record holder of the Class B ordinary shares reported herein. The legal and beneficial owners of the Sponsor are: (i) Consilium Investment Capital, Inc., which is owned and controlled by Charles T Cassel III and Jonathan M. Binder and (ii) Samara CSLM, LLC which is owned and controlled by Vikas Mittal. By virtue of their shared control over the manager of our Sponsor, Mr. Cassel, Mr. Binder, and Mr. Vittal may be deemed to beneficially own shares held by the Sponsor. Mr. Mittal disclaims any beneficial ownership of the reported shares other than to the extent of any pecuniary interest he may have therein, directly or indirectly. Up to an aggregate of 1,000,000 such shares are subject to forfeiture if the over-allotment option is not exercised in full or in part by the underwriter.
F2	The Class B ordinary shares will automatically convert into Class A ordinary shares concurrently with or immediately following the consummation of the Issuer's initial business combination, or earlier at the option of the holders thereof on a one-for-one basis, subject to the adjustments. The Class B ordinary shares have no expiration date.
