F1 On April 2, 2025, David Lazar (the "Reporting Person") resigned as President and as a member of the Board of Directors of the Issuer, effective immediately. In connection with his resignation, the Reporting Person and the Issuer entered into a Separation Agreement pursuant to which the Reporting Person received 100,000 shares of the Issuer's common stock.
