The shares subject to this award vest in full on the earlier of (i) the first anniversary of the date of grant and (ii) the date of the Issuer's next annual meeting of stockholders, subject to the Reporting Person's continued service through such date.
F2 Represents the number of shares sold on behalf of the Reporting Person to cover tax withholding obligations in connection with the vesting of restricted stock units. The sale occurred automatically to satisfy the tax withholding obligations to be funded by a "sell to cover" and does not represent a discretionary transaction by the Reporting Person.
