F1 | Performance-based restricted stock units (PSUs) use the Company's stock price as vesting hurdles over a seven-year period. There are four vesting hurdles ranging from $50 to $100, in three $15 increments and a fourth $20 increment, with each hurdle pricing for vesting of an amount of common shares equal to 25% of the PSUs granted. A hurdle is met when the Company's closing trading stock price is greater than the hurdle amount for 20 consecutive trading days. Each tranche of PSUs is also subject to a continued service requirement and will vest on the later of the date that such service requirement is satisfied and the date on which the hurdle is achieved. No vesting may occur before November 1, 2023. |
F2 | Vesting over approximately 4 years, with 6.25% of the RSUs vesting on the first Quarterly Installment Date that occurs at least 1 month after the Vesting Commencement Date and 6.25% of the RSUs vesting upon each subsequent Quarterly Installment Date, in each case for so long as the Participant continues to provide service. The "Quarterly Installment Dates" are each of February 25th, May 25th, August 25th and November 25th of a given calendar year. |
