The exercise price of such grant is equal to the fair market value of the Issuer's common stock on November 9, 2023, which is the effective date of the Reporting Person's employment agreement with the Issuer. The option shall vest over four years. One-quarter of the option shall vest on the first anniversary of the Grant Date and afterward shall vest monthly at the rate of 1/36 per month until fully vested.
