("Mesa") and Republic Airways Holdings Inc. ("Republic"), Republic merged with and into Mesa (the "Merger"), with Mesa as the surviving corporation in the Merger, and Mesa was renamed Republic Airways Holdings Inc. (following the Merger, the "Issuer"). At the effective time of the Merger, each share of Republic common stock held by the Reporting Person was automatically converted into the right to receive 38.9933 shares of the Issuer's common stock, with cash paid in lieu of any fractional shares.
