Id Content
F1 Represents 653 shares of unrestricted common stock and 2,233 Time-Based Restricted Stock Units (the "RSUs") that convert to common stock on a one-for-one basis pursuant to the 2019 Long-Term Equity Compensation Plan. The RSU awards vest in equal one-third increments on each of the first three (3) anniversaries of the respective Grant Dates, provided that the Grantee is then employed by the Company or an Affiliate. RSUs that are unvested as of the date of the Grantee's employment termination for any reason other than death, disability, or retirement shall be forfeited. If the Grantee dies, becomes disabled or retires prior to the third anniversary of the respective Grant Dates, a pro-rated amount of the remaining unvested stock units in the grants would vest. The RSUs were granted on February 10, 2021, December 13, 2021, February 9, 2022, and February 21, 2023.
