("TDI") were exchanged for an equal number of MMP Shares of the Issuer in a cashless transaction. In addition to the MMP Shares of VMM and VCF that were exchanged for an equal number of MMP Shares of the Issuer, 300 MMP Shares of the Issuer were previously owned by TDI and reported on that certain Form 3 dated as of May 3, 2022 and filed on May 6, 2019, which form is updated by the filing of this Form 4. TDI is a wholly owned indirect subsidiary of The Toronto-Dominion Bank ("TD Bank"). |
