F1 On November 1, 2020, the Reporting Person's spouse was issued a ten-year option to purchase 10,500,000 shares of common stock. The vesting schedule for such option is: (i) 5,250,000 shares vested November 1, 2021; (ii) 2,625,000 shares will vest on November 1, 2022; and (iii) 2,625,000 shares will vest on November 1, 2023. The Reporting Person's spouse transferred a portion of the option to purchase 750,000 shares of common stock as a gift to Reporting Person's adult children who do not share Reporting Person's or his spouse's household. The Reporting Person disclaims beneficial ownership of all securities held by such adult children, and this report should not be deemed an admission that the Reporting Person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.
