F1	These shares were distributed to the Reporting Person by Spectrum Networks Group, LLC, a company in which the Reporting Person was a member at the time of such distribution.
F2	Options to acquire up to 13,475,000 common stock of the issuer previously granted to the Reporting Persons were cancelled and returned to the issuer pursuant to the Stock Option Termination Agreement between the Reporting Person and the issuer, dated May 19, 2021.
