Pursuant to the Agreement and Plan of Merger, dated as of July 24, 2022, by and among Ginkgo Bioworks Holdings, Inc., Pepper Merger Subsidiary Inc. and the Issuer, at the effective time of the merger, the reporting person resigned from the board of directors of the Issuer.
