Explanatory Note: Under the Reporting Person's Employment Agreement with the Company, effective on the first business day following the closing of a successful financing that enables the Company to maintain its listing on the Nasdaq Capital Market, the Reporting Person was granted five-year options to purchase an aggregate of 350,000 shares of the Company's Common Stock at an exercise price equal to the closing price on the Nasdaq Capital Market vesting 25% on the effective date of the grant, 25% on September 30,2025 and 25% on December 31,2025.
