Cerberus Capital Management, L.P. ("CCM" and, along with its affiliates, "Cerberus") holds 151,818,680 shares of Class A common stock of the Company, and separately reports such beneficial ownership, and any changes therein, pursuant to Section 16 of the Securities Exchange Act of 1934. Frank Bruno is the Co-Chief Executive Officer of CCM and possesses the power to vote (or to direct the vote) and the power to dispose (or to direct the disposition) of all securities of the Company held by Cerberus. Mr. Bruno's interest in the securities reported in the separate Section 16 filings made by CCM is limited to the extent of his pecuniary interest in such securities, if any.
