F1 | On May 8, 2024 ("Grant Date"), the Company granted Brady Hayden 50,000 restricted stock units ("RSUs") under the 2020 Omnibus Incentive Plan. Each RSU represents a contingent right to receive one share of common stock. On August 12, 2024, the Board and Compensation Committee determined that the Company met the performance condition of $3,000,000 in adjusted free cash flow and, as a result, 25,000 of these RSUs vested. The remaining 25,000 RSUs will vest upon the Company's achieving $5,300,000 in adjusted free cash flow ("Second Performance Condition"). If the Second Performance Condition is not met, these RSUs will vest in three annual installments on each of the first, second, and third anniversaries of the Grant Date. Vesting is subject to continued employment on each applicable vesting date. |
