F1	100,000,000 shares of Common Stock of the Issuer were issued on August 29, 2022 to Sparx Holdings, LLC. The issuance was partial consideration pursuant to a "Patent License Agreement" that the Issuer entered into with Sparx Technologies, LLC. Ms.Cassandra DeNunzio is the sole member and manager of Sparx Technologies, LLC and Sparx Holdings, LLC. She is also the sole officer, and a director of the Issuer. Ms. DeNunzio disclaims beneficial ownership of the Shares reported herein except to the extent of her or Sparx Holdings, LLC pecuniary interest therein, and this report shall not be deemed to be an admission that any Reporting Person is the beneficial owner of such Shares for purposes of Section 16 or for any other purpose.
F2	Shares owned directly by Sparx Holdings, LLC. Ms. DeNunzio, as the Managing Member of Sparx Holdings, LLC may be deemed to beneficially own the Shares owned directly by Sparx Holdings, LLC.
