F1 Shares were acquired before Reporting Person's appointment on June 20, 2022 to Issuer's Board of Directors ("Board").
F2 Amount of Securities Beneficially Owned is comprised of: (i) 56 shares acquired before Reporting Owner's appointment to Issuer's Board, and (ii) a restricted stock unit ("RSU") award covering 437 shares of Issuer's common stock granted in accordance with the Issuer's Directors' Compensation Policy and Election Plan adopted on October 12, 2021. This RSU award, which was granted effective June 21, 2022 and had an aggregate fair market value of approximately $80,000 on such date, is the non-elective portion of annual director compensation. The RSUs, which are common stock equivalents and fully vested, will be settled solely with Issuer's common stock following termination of the Reporting Person's service as a director.
