Footnote F1

Represents shares of Class A Common Stock that have been withheld by the issuer to satisfy its income tax withholding and remittance obligations in connection with the net settlement of the RSUs, based on a price of $11.45 per share, which represented the closing price of the issuer's Class A Common Stock on October 21, 2024, and does not represent a sale by the reporting person.

On October 23, 2024, the Compensation Committee of the Board of Directors of the issuer determined that the applicable targets for 300,000 performance-based restricted stock units ("PSUs") granted to the Reporting Person on October 21, 2021, were not achieved. Accordingly, the number of shares beneficially owned reflects the forfeiture of such PSUs.
