F2 On January 18, 2022, Hostess Brands, Inc. (the "Company") withheld 87,069 shares of Class A common stock to satisfy withholding taxes due in connection with the vesting of the PSUs referred to above. Such shares had a market value of $19.83 per share, the closing price of the Class A common stock on January 13, 2022, the date the Company's Talent & Compensation Committee certified the performance results.
