F1 The Reporting Person was granted restricted stock units ("RSUs"), which represent a contingent right to receive one share of Common Stock for each RSU. The RSUs vest over a four (4) year period, with 25% vesting on the one year anniversary, and the remaining portion vesting in substantially equal quarterly installments over the next 12 quarters of continuous service.
F2 The Issuer withheld the shares reported on this line to satisfy tax withholding obligations that arose in connection with a vesting and settlement event from a Restricted Stock Units award. Not an open market sale of securities.

Remarks:

This amendment is being filed to report a grant of restricted stock units that was inadvertently omitted from Table I of the original Form 4 filed by the reporting person on August 13, 2024, and to correct the amount of securities beneficially owned by the reporting person following the transaction reported therein.
