("Common Stock") and (ii) pre-funded warrants (the "Pre-Funded Warrants") to purchase up to 88,675 shares of Common Stock, in exchange for the Reporting Person's shares in Quantum X Labs Ltd. ("Quantum"), pursuant to a Securities Exchange Agreement dated December 15, 2025 by and between the Issuer, Quantum and shareholders of Quantum, which included the Reporting Person (the "Securities Exchange Agreement'). The transactions contemplated by the Securities Exchange Agreement were pursuant to an exemption from the registration requirements under Section 4(a)(2) of the Securities Act of 1933, as amended. |
