(the "Issuer")) granted Dr. Andrew Regan ("Dr. Regan") 1,120,000 shares of common stock, par value $0.0001 ("Common Stock"), of the Issuer pursuant to the Issuer's Amended and Restated 2023 Stock Incentive Plan as compensation for his services as a director and an officer of the Issuer.
