F1	On September 30, 2024, in connection with a Subordinated Note of the same date, the Issuer entered into a Securities Purchase Agreement ("Securities Purchase Agreement") with The Hideaway Entertainment, LLC and First Idea Ventures LLC, pursuant to which The Hideaway Entertainment, LLC agreed to purchase a warrant to purchase up to 228,310 shares of common stock, par value $0.01 per share, of the Issuer ("Common Stock"), at a purchase price of $8.89 per share, from the Issuer for a total purchase price of $1,000,000, and First Idea Ventures LLC agreed to purchase a warrant to purchase up to 913,242 shares of Common Stock, at a purchase price of $8.89 per share from the Issuer for a total purchase price of $4,000,000.
