F1 The shares of Common Stock were acquired in connection with a Note Conversion Agreement with the Issuer, pursuant to which the principal and interest outstanding in the amount of $2,328,617 on a line of credit extended by Excel Family Partners, LLLP, an entity managed by the Reporting Person, was converted into shares of Common Stock of the Issuer at a per share price of $0.80.
F2 Reporting Person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, if any, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purpose.
