F1	On January 6, 2021, the Registrant issued the Reporting Person 152,671 shares (the "Shares") of the Registrant's common stock pursuant to the Employment Agreement by and between the Registrant and the Reporting Person dated January 1, 2021 which Shares vested in full on January 6, 2022. The Reporting Person has elected to satisfy their tax withholding obligations upon the vesting of restricted stock by having the Registrant withhold a number of vested shares having a value on the date of vesting equal to the tax withholding obligation.
