F1 Each share of Class B Common Stock is convertible into one share of Class A Common Stock at the option of the holder and upon the occurrence of other events set forth in the Issuer's Certificate of Incorporation.
F2 These shares were held by a trust for the benefit of Mr. Reinhart's family and of which the trustee was an independent institution. On December 11, 2024, this trust was dissolved and its assets, consisting of 106,700 of the Issuer's Class B Common stock were transferred, for no consideration to the 2017 Costanoa GST Trust (defined in footnote 3 below).
