As consideration, the Issuer issued 5,000,000 shares of restricted common stock to the Reporting Person.
F2	On August 5, 2025, the Reporting Person as CEO of the Issuer agreed to voluntarily cancel 20,000,000 shares of common stock and 4,000,000 shares of Series A Preferred Stock in an effort to improve the accuracy of the Issuers capitalization table.
