F1 Reflects restricted stock units ("RSUs"), each of which represents a contingent right to receive one share of the Issuers Class A Common Stock. 29,516 RSUs were granted as the Reporting Persons annual equity award pursuant to the Companys Non-Employee Director Compensation Program and the remainder represents RSUs granted in lieu of the Reporting Persons annual cash retainer for service on the Companys Board of Directors pursuant to the Companys Non-Employee Director Compensation Program. All of the RSUs will vest on the earlier of 1) the one year anniversary of the grant date or 2) the date of the Companys next Annual Meeting of Stockholders, subject to the Reporting Person's continuous service as a member of the Board of Directors on such date.
