Filing notes and footnotes

Explanation of responses 2 footnotes

Footnote F1

The shares were sold in open market transactions pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person in accordance with Rule 10b-5 of the Securities Exchange Act of 1934, as amended.

Footnote F2

On December 5, 2022, the Reporting Person filed a Form 4, which inadvertently reported the amount of securities beneficially owned directly by such Reporting Person following the reported transaction was 70,223 shares of common stock, when in fact, the amount should have been 70,201 shares of common stock (an overreporting of 22 shares of common stock). The amount of securities beneficially owned reported in this Form 4 corrects that error.
