The shares were sold to satisfy the tax liability of the Reporting Person in connection with the issuance of Class A Common Stock resulting from the vesting of restricted stock units under the Zuora, Inc. 2018 Equity Incentive Plan ("Plan"). The shares for the Reporting Person were aggregated with shares sold to satisfy tax liability for all other Plan participants, and all such shares were sold over a three-day period ending on July 3, 2024. The price reported in Column 4 is the weighted average price. Shares were sold in multiple transactions at prices between $9.41 and $9.89. The Reporting Person undertakes to provide upon request to the staff of the U.S. Securities and Exchange Commission, Zuora or its stockholders, full information regarding the total number of shares sold at each separate price within the range set forth in this footnote.
