This performance-based stock option was granted on March 20, 2018. On February 23, 2022, the Company's board of directors certified partial achievement (77%) of the goal based on performance to date and amended the option to provide that 77% of the shares (23,100 shares) covered by the option shall vest over three years, of which 33% shall vest on October 27, 2022 and 8.375% shall vest quarterly thereafter, subject to the Reporting Person remaining in continuous service through each vesting date. The performance period for achievement of the full performance goal remains intact and all shares will vest on achievement of the goal (assuming continued employment through goal achievement).
