In exchange for the shares, the reporting person contributed to the trust $106,330 in cash. The remaining 9,133 shares of HRL common stock were distributed to the reporting person as the final annuity payment. The withdrawal and distribution of shares from the trust resulted in a decrease in the number of shares the reporting person beneficially owns indirectly and a corresponding increase in the number of shares the reporting person beneficially owns directly.
