On June 5, 2023 (the date of the Issuer's 2023 Annual Meeting of Stockholders), the reporting person was granted 2,041 restricted stock units pursuant to the Issuer?s 2020 Omnibus Long-Term Incentive Plan. Such units vest on the date of the Issuer's second annual meeting following such grant (the "Vesting Date"); provided that the reporting person continues to be a director of the Issuer through and on the Vesting Date.

The number of restricted stock units was determined by dividing $50,000 by the closing price per share during the 20 trading days preceding the date of the Issuer's 2023 Annual Meeting of Stockholders (rounded up to the nearest whole number of shares).
