On July 31, 2025, TIAA redeemed shares in the private fund that it controls and the redeemed shares of such private fund were calculated based on the translated US dollar equivalent of the redemption amount divided by Nuveen Churchill Private Capital Income Fund's net asset value as of July 31, 2025, which resulted in a reduction of TIAA's indirect beneficial ownership in Nuveen Churchill Private Capital Income Fund.
