("Everus"), which at the time was all of the issued and outstanding shares of common stock of Everus. On October 21, 2024, Everus effected a stock split of its outstanding shares of common stock, resulting in 50,972,059 shares of Everus common stock issued and outstanding and held by MDU Resources. Effective 11:59 p.m. ET on October 31, 2024, MDU Resources distributed 100% of the issued and outstanding shares of Everus common stock to the holders of MDU Resources common stock at the close of business on October 21, 2024 in a pro rata dividend.
