("UPYY") on June 3, 2025; and (b) mistakenly reported that the Amount of Securities Beneficially Owned under Item 5 of Table I is 1,928,432 Common Stock Shares (the "1,928,432 Shares"). The reported sale transaction was never consummated and therefore did not occur. The reported person's beneficial ownership of UPYY Common Stock remains as 1,803,432 Shares, as reflected in the reported person's Form 3 dated June 2, 2025 and in Item 5 of Table 1 above, and corrects the previously reported 1,928,432 Shares in the June 3, 2025 Form 4.
