Mr. Richard N. Massey is the sole general partner of DogTown Limited Partnership, which owns 36% of the membership interest of Jena Acquisition Sponsor LLC II (the "Sponsor"). The Sponsor owns 5,720,000 Class B ordinary shares of the Issuer, including up to 750,000 shares that are subject to forfeiture in the event the underwriters of the Issuer's initial public offering do not exercise in full their over-allotment option. The limited partners of DogTown Limited Partnership are Mr. Massey and his immediate family. Accordingly, Mr. Massey may be deemed to beneficially own 36% of the 5,720,000 Class B ordinary shares of the Issuer. Mr. Massey disclaims beneficial ownership of these shares except to the extent of any pecuniary interest therein.
