(the "Issuer"), the Reporting Person subscribed to purchase an aggregate of 21,955 shares of the Issuer's Class A common stock, par value $0.0001 per share, at a price of approximately $11.39 per share in a private placement pursuant to a Subscription Agreement dated as of December 23, 2024, by and among the Reporting Person and the Issuer. As previously reported, an aggregate of 8,782 shares of Class A Common Stock was issued pursuant to such subscription on December 31, 2024. The remaining 13,173 shares of Class A Common Stock pursuant to such subscription were issued on February 6, 2025.
