The Reporting Person owns membership interests in CO2 Energy Transition, LLC ("Sponsor"), which directly owns shares of common stock and warrants of CO2 Energy Transition Corp. and, as a result thereof, the Reporting Person holds an indirect economic interest in Sponsor and an indirect pecuniary interest in certain of the securities held by Sponsor.
