F1 The shares were disposed pursuant to a Stock Purchase Agreement (the "Purchase Agreement"), dated November 18, 2024, by and among the reporting person, Quality Industrial Corp., a Nevada corporation, Fusion Fuel Green PLC, an Irish public limited company (the "Fusion Fuel"), Ilustrato Pictures International Inc., a Nevada corporation and a stockholder of the Company ("Ilustrato"), and certain other stockholders of the Company. At the closing under the Purchase Agreement, the reporting person exchanged its 850,000 shares of QIND for certain shares of Fusion Fuel. The closing occurred on November 26, 2024.
