F1 The shares were disposed pursuant to a Stock Purchase Agreement (the "Purchase Agreement"), dated November 18, 2024, by and among the reporting person, Quality Industrial Corp., a Nevada corporation, Fusion Fuel Green PLC, an Irish public limited company (the "Fusion Fuel"), Ilustrato Pictures International Inc., a Nevada corporation and a stockholder of the Company ("Ilustrato"), and certain other stockholders of the Company. At the closing under the Purchase Agreement, the reporting person exchanged its 62,419,078 common stock and 20,000 series A preferred stock of QIND for certain shares of Fusion Fuel. The closing occurred on November 26, 2024.
