The warrants are exercisable immediately upon issuance until the earlier of (i) the two year anniversary of the initial exercise date or (ii) thirty trading days following the reporting of the top line data (EMACC) in the Phase 2 Alzheimer's program of XPro1595, (the "Termination Date") but not thereafter, provided however, in the event that the Warrant is held by directors, officers or other affiliates of the Company and the Termination Date is during a period that such officers, directors or affiliates are subject to a blackout with respect to trading in the Company's common stock, such officers, directors or affiliates will have an additional 60 days from the termination of the blackout date to exercise the Warrant.

Remarks:

The original Form 4, filed on April 23, 2024 is being amended by this Form 4 amendment solely to correct an administrative error, which misreported the transaction as an award in column 3 of Table I and column 4 of table II instead of a purchase. The reporting person purchased the securities in a registered direct transaction from the Company.
