F1	These shares were issued pursuant to the automatic conversion of a 6% Convertible Unsecured Promissory Note (the "Note") upon the consummation of the initial public offering ("IPO") and the listing of the common stock of the issuer on November 16, 2023. All accrued interest on the principal subject to such conversion was waived in accordance with the terms of the Note. Pursuant to a settlement notice, the number of shares of common stock issued upon conversion of the Note was the amount that would be applicable as if the principal under the Note had been increased to 110% of the outstanding principal.
